Terms of Service

By accessing or using the Milan Studio website and platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Milan Studio ("Milan," "we," "us," or "our").

Milan Studio is a storytelling platform that helps users transcribe interviews, structure narratives, write scripts, manage media assets, and assemble films. Features and functionality may change over time.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

You retain all ownership rights to content you upload to the platform ("User Content"), including video files, images, scripts, and other media.

By uploading User Content, you grant Milan Studio a limited, non-exclusive, royalty-free license to process, store, and display your content solely for the purpose of providing the Service to you. We will not use your content to train machine learning models without your explicit consent.

You agree not to use the Service to:

• Upload content that infringes on intellectual property rights
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or unauthorized purpose
• Upload content depicting illegal activity, violence, or exploitation
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written consent

The Service, including its design, features, code, and branding, is owned by Milan Studio and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

Our platform uses machine learning models to assist in research, transcription, narrative structuring, and editing. While we strive for accuracy and quality:

• Machine-assisted outputs may contain errors or inaccuracies
• You are responsible for reviewing and approving all outputs before use
• We make no guarantees regarding suitability for any specific purpose
• You own the rights to outputs created using your content and direction on our platform

Subscription fees are billed in advance and are non-refundable except where required by law or where explicitly stated in a published guarantee. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

To the maximum extent permitted by law, Milan Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

You agree to indemnify and hold harmless Milan Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your User Content before termination by contacting us.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in King County, Washington.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
